Service availability and timelines are subject to client cooperation and timely payment – you must provide necessary information and feedback promptly to enable us to meet project timelines. If you delay in providing required inputs or approvals, or if payments are not made on schedule, our delivery timelines may need to be adjusted accordingly. We will communicate any such adjustments, and Valwet will not be liable for delays caused by client’s failure to fulfill their obligations.
Client Obligations and Acceptable Use: When using the Valwet website or our services, you agree to use them only for lawful purposes and in a manner that does not infringe the rights or restrict the use and enjoyment of the site by others. Payments must be made in the currency and schedule agreed (one-time or in milestones or installments, as applicable). Invoices are due upon receipt or as per the payment schedule on the invoice. Timely payment is essential: if payments are not received by the due dates, Valwet may suspend work or withhold deliverables until payment is made. In the event of late payment, we reserve the right to charge interest or late fees in accordance with UK law or the contract terms (if specified). Confidentiality: Both Valwet and the client may receive confidential or proprietary information from the other during a project. Each party agrees to keep the other’s confidential information in strict confidence and to use it only for purposes of fulfilling the contract. Confidential information includes any non-public business, technical, or financial information, plans, or data provided marked as confidential or that should reasonably be understood as confidential. This confidentiality obligation does not apply to information that becomes public through no fault of the recipient, is independently developed or obtained, or is required to be disclosed by law or court order (in which case the disclosing party will be informed if legally permitted). These confidentiality obligations continue even after the project or contract ends.
Termination: We reserve the right to refuse service, suspend accounts, or terminate any agreement for any user or client who breaches these Terms and Conditions or any other policy, who fails to pay for services, or who engages in conduct that harms our interests or reputation. If the client materially breaches a contract and fails to remedy the breach after being given notice, Valwet may terminate the service with immediate effect. In case of termination by Valwet due to client breach or misconduct, the client may be liable for any unpaid fees for work already performed, and no refund will be provided for any unused portion of services (consistent with our Refund Policy). If a client wishes to terminate a project early, they must notify Valwet in writing. We will discuss any wind-down of work and determine any refund or payment due in accordance with the circumstances and our Refund Policy terms. Note that certain services may require a minimum commitment period; early termination by the client before that period ends may still require payment of the agreed fees for the full minimum term.
